2. Services Overview
Clover Collections provides professional estate-sale management, including appraisal, marketing, sale execution, and post-sale disposition of unsold items. We may update, modify, or discontinue features at our discretion, with or without notice.
3. Account Registration
To book services, request consultations, or access certain features, you may need to create an account. You agree to:
Provide accurate, current, and complete information.
Maintain the security of your login credentials.
Notify us immediately if you suspect unauthorized use of your account.
4. User Obligations
When using our Services, you agree to:
Comply with all applicable laws and regulations.
Provide truthful information about your estate items and property.
Cooperate with our team to facilitate appraisals, staging, and sale logistics.
Refrain from impersonating others or providing misleading information.
5. Fees and Payment
Fees for estate-sale services are set forth in your Service Agreement or Proposal. By engaging our Services, you authorize us to deduct our fees and any agreed-upon expenses from sale proceeds. All payments are final unless otherwise agreed in writing.
6. Intellectual Property
All content on the Services—text, graphics, logos, images, and software—is owned by Clover Collections or its licensors and protected by copyright, trademark, and other laws. You may not copy, reproduce, distribute, or create derivative works without prior written permission.
7. User Content
If you submit photographs, descriptions, or other content (“User Content”), you grant Clover Collections a royalty-free, perpetual, worldwide license to use, display, and modify that content in connection with our Services and marketing efforts.
8. Prohibited Conduct
You agree not to:
Use the Services for any unlawful purpose.
Interfere with or disrupt the Services or servers.
Attempt to gain unauthorized access to any portion of the Services.
Use bots, scrapers, or automated methods to access data.
9. Disclaimers
Valuations: Any appraisals or estimates provided are opinions based on market conditions and available information; actual sale results may vary.
No Warranty: The Services are provided “as is” and “as available.” We disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the fullest extent permitted by law, Clover Collections and its officers, directors, employees, and agents shall not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services. Our total aggregate liability shall not exceed the total fees you paid us in the six (6) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Clover Collections, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Your breach of these Terms;
Your use of the Services;
Any User Content you submit.
12. Governing Law & Dispute Resolution
These Terms and any dispute arising out of or relating to them shall be governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Any legal action shall be brought exclusively in the state or federal courts located in Wake County, North Carolina.
13. Changes to Terms
We may revise these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on our site with a new “Last updated” date. Continued use after such updates constitutes acceptance of the revised Terms.
14. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
15. Waiver
Our failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision.
